1. Acceptance of Terms
This site and the applications and services available in connection with this site (the "App") are made available to you by Estate Haus, LLC d/b/a Coterie ("Coterie", "we") subject to these Terms of Use, including the Privacy Policy (together, the "Terms"). By accessing, using, or downloading any materials from the App, you agree to be bound by the Terms, which may be updated by us from time to time; the current version is always available at this page, and we will provide notice of material changes as required by law. If you do not agree with the Terms, please do not use this App. BY CONTINUING TO USE THE APP, YOU INDICATE YOUR AGREEMENT TO THE TERMS.
Coterie accounts may be created and held only by persons 18 years of age or older.
We reserve the right at any time to modify or discontinue, temporarily or permanently, the App or any portion thereof, with notice where required. We shall not be liable to you or any third party for modification, suspension, or discontinuance of the App, except as expressly provided in these Terms or required by law.
2. Plans and Permitted Use
Coterie offers plans for both personal and professional use. Personal plans are for cultivating your own relationships and hosting your own gatherings. Professional plans are for individuals and organizations that plan, produce, or host gatherings, events, and experiential activations in a business capacity, subject to the features and limits of the applicable plan. You agree to use the App only under a plan appropriate to your use. No plan permits reselling access to the App, operating the App on behalf of third parties without authorization, or the prohibited uses in Section 5.
3. Account Registration
Some functionality requires you to register an account. You agree that we may use your account information to provide services on the App, and you represent that you are of legal age to form a binding contract and are not barred from receiving services under applicable law. We may suspend or terminate accounts as provided in Section 16.
You are responsible for maintaining the confidentiality of your credentials and for activity under your account. We use reasonable security measures but cannot guarantee absolute security; you accept the risks inherent in transmitting information online.
4. Your Directory and Responsibility for Information About Others
Coterie lets you keep a private directory of people, including notes, contact details, preferences, and interaction history — including about people who are not Coterie users. Your directory is yours, and so is the responsibility for it. You represent and agree that:
(a) you have an appropriate basis to store the information you add about others, and you add it for genuine personal or professional relationship purposes;
(b) you will not use directory information for spam, resale, data brokering, surveillance, harassment, or any unlawful purpose;
(c) you will honor reasonable requests from your own contacts regarding information you hold about them; and
(d) as between you and Coterie, you are responsible for the lawfulness of the personal information you add about others.
Coterie stores your directory to provide the service to you and for no other purpose, as described in the Privacy Policy.
5. User Conduct
You are responsible for content you submit ("Content"). You agree not to use the App to: (a) upload or transmit Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, invasive of another's privacy, or hateful; (b) harm minors; (c) impersonate any person or entity; (d) make available Content you lack rights to; (e) infringe intellectual property rights; (f) send unsolicited or unauthorized advertising, spam, or solicitations, including through invitations, event pages, or any Coterie communication surface; (g) transmit malware or interfere with the App or connected networks; (h) violate applicable law; or (i) access the App by automated means (scripts, crawlers, scrapers) or forge identifiers to disguise origin.
In addition, you will not use the App to contact persons who have opted out of hearing from you; you will not use guest conversations or directory data to build marketing lists outside the App; and you will not host unlawful events through the App.
We do not routinely monitor private Content, and our access to it is limited as described in the Privacy Policy. We reserve the right to remove Content or restrict features where we have a good-faith belief of a Terms violation, legal requirement, or risk to any person. We may access, preserve, and disclose your information if required by law or in a good-faith belief such action is reasonably necessary to comply with legal process, enforce the Terms, respond to claims, provide support you request, or protect the rights, property, or safety of Coterie, its users, or the public.
6. Guests and Invitation Surfaces
Hosts may share invitation links, event pages, and related surfaces with guests, who may interact without creating a Coterie account. By interacting with an invitation or event page, guests agree to the guest notice presented on those surfaces, which incorporates the applicable portions of these Terms and the Privacy Policy. Material disclosures made to guests on those surfaces include: that the host can see the guest's conversation with the invitation and the information captured from it; that captured details (such as RSVPs and dietary notes) are confirmed to the guest in the moment; and that guests may request deletion of their conversation history as described in the Privacy Policy. Hosts agree not to misrepresent to guests how these surfaces work.
8. Not an Emergency or Safety Service
The App — including day-of features, escalations, and the optional get-home-safe note — is a convenience and courtesy, not an emergency, monitoring, welfare, or safety service. Coterie does not track guest location, does not monitor replies for welfare, and takes no action when a message goes unanswered. In an emergency, contact local emergency services.
9. Co-Hosting
Accepting a co-host invitation grants only the access the product defines: the shared gathering plan and the joint guest list (names and RSVP states). Co-hosts never receive access to each other's directories, person records, or private notes. Leaving a gathering or removing a co-host follows the product's rules; content each host contributed to the shared plan may remain with the gathering. Each host remains responsible under Section 4 for the guests they add.
10. Communications on Coterie
The App provides communication surfaces (invitations, guest conversations, host notes, co-host planning). These operate under the access rules described in the product and the Privacy Policy — including that hosts can see their guests' conversations with their invitations, and that co-hosts see the shared plan but not each other's private notes. Communications are not advertising channels, are not made public by Coterie, and are not routinely monitored, subject to Section 5. You agree to use communication features only for their intended purposes, and that your communications constitute your Content under these Terms. You agree that notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
11. Proprietary Rights
The App and any necessary software used in connection with the App contain proprietary and confidential information protected by applicable intellectual property and other laws. We grant you a personal (or, on professional plans, organizational), non-transferable, non-exclusive license to access and use the App; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work from, reverse engineer, reverse assemble, or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the App, or access the App by any means other than through the interface we provide. You retain ownership of your Content (your directory, notes, briefs, photos, plans); you grant Coterie the limited license necessary to operate the service as described in the Privacy Policy. On professional plans using event brand kits, you warrant that you have rights to the assets you upload.
"Coterie," the Coterie logo, and other Estate Haus, LLC logos and product and service names are the exclusive trademarks of, and are owned by, Estate Haus, LLC, and you may not use or display such trademarks in any manner without our prior written permission. Any third-party trademarks or service marks displayed on the App are the property of their respective owners. We reserve all rights not expressly granted hereunder.
12. Subscriptions, Payments, Renewals, and Cancellations
Monthly plans. Your subscription begins as soon as you have signed up for the subscribed services and your initial payment is processed, and renews monthly without notice until you cancel. You authorize us to automatically charge your payment method through our third-party payment processor each month at the applicable rate for your plan, plus applicable taxes (such as sales tax, VAT, or GST if the rate does not include it), until you cancel. Cancel at least 48 hours before renewal to avoid the next charge. We may change the subscription price at renewal and will notify you of an increase and give you the option to cancel. If the applicable tax rate changes during your term, we will adjust the tax-inclusive price on your next billing date. If your primary payment method fails, you authorize us to charge any other payment method in your account; if you have not provided a backup payment method and all payment methods fail, we may suspend your subscription.
Annual plans. Your subscription begins as soon as you have signed up and your initial annual payment is processed, and renews annually without notice until you cancel, on the same notice, cancellation, tax, and failed-payment terms as monthly plans.
Free trials. We reserve the right to modify or terminate free trial offers at any time and for any reason. At the conclusion of a free trial you will automatically be charged the then-current subscription price unless you cancel at least 48 hours in advance.
European Economic Area customers. Your bank may require you to authenticate your initial purchase using a password, a one-time code sent to your mobile number, or biometric recognition. When you authenticate, you also authorize us to charge your payment method for additional purchases without providing further payment information, including automatic charges for recurring subscriptions and for added or changed plans. When signing up for a subscription for the first time, European Economic Area customers have a fourteen (14) day right of withdrawal or "cooling-off period," subject to applicable law, in which you may request and receive a refund. The cooling-off period applies from the date you sign up for a subscription plan, may be used only once at your first purchase engagement with Coterie, and ceases if you use the paid services within that period.
13. Disclaimer of Warranties
THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND CONTENT AVAILABLE IN THE APP ARE PROVIDED TO YOU "AS IS" AND WITHOUT WARRANTY. ESTATE HAUS, LLC AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES WITH REGARD TO SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND CONTENT, INCLUDING, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND MAKE NO WARRANTY THAT (a) THE SERVICE WILL MEET YOUR REQUIREMENTS; (b) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (c) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE — INCLUDING SOCIAL SECRETARY OUTPUT — WILL BE ACCURATE OR RELIABLE; AND (d) ANY ERRORS IN THE APP WILL BE CORRECTED.
14. Release; Limitation of Liability
YOU EXPRESSLY AGREE TO RELEASE ESTATE HAUS, LLC, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, REPRESENTATIVES, EMPLOYEES, PARTNERS, AND LICENSORS (THE "RELEASED PARTIES") FROM ANY AND ALL LIABILITY CONNECTED WITH YOUR ACTIVITIES, AND PROMISE NOT TO SUE THE RELEASED PARTIES FOR ANY CLAIMS, ACTIONS, INJURIES, DAMAGES, OR LOSSES ASSOCIATED WITH YOUR ACTIVITIES. YOU ALSO AGREE THAT IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH (a) YOUR USE OR MISUSE OF THE APP, (b) YOUR GATHERINGS OR YOUR DEALINGS WITH GUESTS, CO-HOSTS, VENDORS, OR OTHER THIRD PARTIES, (c) ANY DELAY OR INABILITY TO USE THE APP EXPERIENCED BY YOU, OR (d) ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, OR CONTENT OBTAINED THROUGH THE APP, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ESTATE HAUS, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
15. Indemnity
You agree to indemnify and hold Estate Haus, LLC and its subsidiaries, affiliates, officers, agents, representatives, employees, partners, and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit, or otherwise seek to make available through the App, information you add about others under Section 4, your gatherings, your use of the App, your connection to the App, your violation of the Terms, or your violation of any rights of another person or entity.
16. Termination
You agree that we may, under certain circumstances and without prior notice where legally permissible, immediately suspend or terminate your account and/or access to the App. Cause for such termination shall include, but not be limited to: (a) breaches or violations of the Terms or other incorporated agreements or guidelines; (b) requests by law enforcement or other government agencies; (c) a request by you (self-initiated account deletion); (d) discontinuance or material modification of the App or any portion thereof; (e) unexpected technical or security issues or problems; (f) extended periods of inactivity; and/or (g) nonpayment of any fees owed by you in connection with the App. Termination of your account may include removal of access to all offerings within the App, deletion of your information, files, and Content associated with your account per the retention terms of the Privacy Policy, and barring of further use of the App. Terminations for cause shall be made in our reasonable discretion, and we shall not be liable to you or any third party for any termination of your account or access to the App. Upon your own account deletion, your directory, records, and conversations are deleted as described in the Privacy Policy.
17. Applicable Law; Venue; Claims Period
This App is controlled by Estate Haus, LLC from its offices within the United States of America. We make no representation that the Content in the App or the App is appropriate or available for use in other locations, and access from territories where its use is illegal is prohibited. Those who choose to access this App from locations outside of the United States do so on their own initiative and are responsible for compliance with applicable local laws. You may not use or export the Content in violation of U.S. export laws and regulations. Any action related to the App, the Content, or the Terms shall be governed by Georgia law and controlling U.S. federal law, without regard to conflicts of laws thereof. You hereby consent and submit to the exclusive jurisdiction and venue of the state and federal courts sitting in Georgia for any legal proceedings related to the App or the Terms. If any party hereto brings any suit or action against another for relief, declaratory or otherwise, arising out of these Terms, the prevailing party will recover against the other party, in addition to all court costs and disbursements, such sum as the court may adjudge to be reasonable attorneys' fees. Except to the extent prohibited by applicable law, the parties agree that any claim or cause of action arising out of or related to the use of the App or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred. Sections 4, 6, 7, 8, 11, 13, 14, 15, and 17 shall survive termination of your account and/or the Terms.
